Governing language. The Spanish version of these Terms of Service (Condiciones del Servicio) is the governing version. This English version is a courtesy translation; in the event of any discrepancy between the two, the Spanish version prevails. See also the Privacy Policy and how to request data deletion.
Micrxn is a platform operated by Jonatan Efrain Castillo Gomez, an individual carrying on a business activity (persona física con actividad empresarial), with address at Paraguay 2129, Colonia del Sur, C.P. 44920, Guadalajara, Jalisco, Mexico, and contact email soporte@micrxn.com (hereinafter, "Micrxn" or "we"). "You" or "the customer" is the person who creates an account and, where applicable, the company or organization on whose behalf that person uses it.
By creating an account or using the service, you accept these terms and the Privacy Policy. If you do not agree, do not use the platform.
Micrxn is a modular business platform (ERP) provided as an online service. As of the date of these terms it comprises, among others, modules for users and roles, third parties (customers, suppliers and contacts), catalog, CRM, sales, purchasing, supplier portal, inventory, fulfillment, finance, accounting, approvals, reports, documents, conversations over messaging and email channels, sequences and bulk sends, calendar and appointments, personnel management, notifications, integrations with third-party services, an artificial intelligence assistant and agents, and developer tools.
The modules available to each organization depend on its plan and its configuration. The specific features evolve and may be added, modified or withdrawn (see section 20). Descriptions of future features that appear on our sites or in our materials do not constitute a commitment as to delivery or date.
Micrxn is a tool: it does not provide accounting, tax, legal or financial advice. You are responsible for verifying that your records, tax receipts and returns comply with the rules applicable to you.
You agree not to use the service to:
You retain ownership of the data and content that you and your users enter into the platform or receive through it ("customer data"). You grant us a limited, non-exclusive license, for as long as the relationship lasts, to host, copy, transmit, display and process customer data —including through the providers indicated in the Privacy Policy— solely to the extent necessary to provide the service to you, give you support, maintain the security of the platform and comply with the law.
You are responsible for the accuracy and lawfulness of customer data, and for keeping your own copies of any information that is critical to you.
With respect to the data of your account and of your organization, Micrxn is the data controller (responsable) and processes it in accordance with the Privacy Policy. With respect to the personal data of third parties that you upload to or receive in the platform —your customers, contacts, suppliers, personnel and others—, you are the data controller and we act as data processor (encargado), processing it in accordance with your instructions and these terms. Consequently, it is for you to:
For our part, we undertake to process that data only to provide the service to you, to keep it confidential, to apply the security measures described in the Privacy Policy, to notify you without delay if we detect a security breach that significantly affects it, and to return or delete it when the relationship ends in accordance with section 17.
The service integrates with third-party platforms, including WhatsApp (Meta Platforms, Inc.), SMS, voice and email providers (such as Twilio, SendGrid, Mailgun, Gmail and Microsoft 365), sign-in providers (Google and Microsoft), the payment processor (Stripe) and artificial intelligence providers. Which integrations are used depends on what your organization activates.
Use of those services is also governed by their own terms and policies, compliance with which is your responsibility, as is the safekeeping of the credentials you provide to connect them. We are not liable for changes, restrictions, fees, failures or suspensions decided by those providers, or for how they process the data once they receive it.
The platform, its software, its documentation, its trademarks and its designs are the property of Micrxn or its licensors. These terms grant you only a limited, non-exclusive, non-transferable and revocable right to access and use the service during the term of your subscription or trial period, for the internal operations of your organization. No other right is transferred to you.
If you send us comments or suggestions about the service, we may use them freely to improve it, without obligation to you.
Each party will keep confidential the other's non-public information that it learns by reason of the service —in our case, customer data— and will use it only for the purposes of these terms. This obligation does not extend to information that is public through no fault of the recipient, that was already lawfully known, or whose disclosure is required by law or by a competent authority.
The service is provided "as is" and "as available". We may carry out maintenance, updates, changes or temporary suspensions, endeavoring to give notice where reasonably possible.
There is, for now, no service level agreement (SLA), nor any commitment as to uptime, support response times or recovery. Nor do we claim to hold security or compliance certifications issued by third parties. If in the future we offer any of these, it will be agreed in writing, and that written document will prevail over any general description of the service.
We may offer features identified as beta, pilot, experimental or preview. They are optional, may contain errors, may change or be withdrawn without notice, and are offered without any warranty. Do not use them for critical information or operations.
You may stop using the service and cancel your subscription whenever you wish. We may suspend or terminate access, in whole or in part, in the event of breach of these terms, non-payment, security risk, use that puts at risk other customers or our relationship with a channel provider, or legal requirement, endeavoring to notify you beforehand where possible and to give you the opportunity to cure where the breach is curable.
We may also cease to offer the service in its entirety. In that case we will notify you reasonably in advance so that you can retrieve your data.
The sections that by their nature should survive —including those relating to intellectual property, confidentiality, limitation of liability, indemnity and jurisdiction— will remain in force after termination.
The platform does not for now offer a self-service function to export all of your data or to delete the organization. Once the relationship has ended, an administrator of the organization may request from soporte@micrxn.com, within the following 30 calendar days, the return of customer data in a reasonable electronic format, its deletion, or both; we will handle the request manually. After that period, the data is deleted or blocked on the terms, within the time limits and with the exceptions set out in the Privacy Policy (for example, backups and legal retention obligations). See also how to request data deletion.
To the extent permitted by law, we give no warranties other than those expressly provided for in these terms: we do not warrant that the service will operate without interruption or free of errors, or that its results —including those generated by artificial intelligence— will be accurate or fit for a particular purpose.
To the extent permitted by law, we are not liable for indirect, incidental or consequential damages, or for loss of profits, loss of data or loss of business opportunities arising from the use of or inability to use the service, from third-party services, or from the automations you configure. Our total liability to you for any cause related to the service is limited to the amount you have paid us for the service during the twelve months preceding the event giving rise to it.
Nothing in these terms excludes or limits liability that cannot legally be excluded or limited, such as liability arising from willful misconduct or bad faith. The service is offered for business use; if, nevertheless, consumer protection law were to apply to your case, these terms do not restrict the non-waivable rights that such law grants you.
You agree to indemnify us and hold us harmless from claims, penalties and reasonable expenses —including attorneys' fees— arising from: (i) customer data or your use of the service in contravention of these terms or the law; (ii) the messages sent on your behalf and the automations you configure; (iii) the lack of legal basis or consent to process the personal data you upload or to contact its recipients; or (iv) breach of the terms of the third-party services you connect. We will notify you without delay of any such claim and will cooperate reasonably in its defense.
We may add, modify or withdraw features, modules and integrations. Where a change substantially reduces a feature you are paying for, we will endeavor to notify you reasonably in advance, and you may cancel your subscription in accordance with section 5.
We may amend these terms. We will update the date in the heading and publish the current version at this address. If the change is substantial, we will endeavor to notify you through the registered means of contact. Subsequent use of the service implies your acceptance; if you do not agree, you may cancel your subscription.
You may not assign these terms or your account without our prior written consent. Micrxn is operated today by an individual carrying on a business activity and is in the process of incorporating a company: you agree that we may assign these terms, with all their rights and obligations, to that company once it has been incorporated, or to whoever acquires or continues the operation of the platform. We will notify you through the registered means of contact and will update the provider's details here. The assignment will not reduce your rights; if you do not agree, you may cancel your subscription.
These terms are governed by the laws of the United Mexican States. For any dispute, the parties submit to the competent courts of Guadalajara, Jalisco, waiving any other jurisdiction that might correspond to them.
These terms, together with the Privacy Policy, the terms shown to you when you purchase and any written agreements we may enter into, constitute the entire agreement between the parties regarding the service; in the event of conflict, the signed written agreement prevails. If any provision is found to be invalid, the remaining provisions will remain in force. The Spanish version is the governing version.
